1. Parties

This Affiliate Agreement (“Agreement”) is entered into by and between:

  • Mining Grid (“Company”), engaged in the business of BTC mining services and related products.

  • The Affiliate (“Affiliate”), a business entity or individual promoting Mining Grid products and services under this Agreement.

2. Purpose

The Affiliate agrees to promote Mining Grid BTC mining packages and services to potential customers in exchange for commissions on qualifying sales, as detailed in this Agreement.

3. Affiliate Status

  • The Affiliate is an independent contractor, not an employee, partner, or agent of Mining Grid.

  • Nothing in this Agreement creates a joint venture, franchise, or employer–employee relationship.

  • The Affiliate has no authority to bind Mining Grid to any agreements or obligations.

4. Affiliate Registration & Approval

  • Affiliates must submit a valid application and receive written approval from Mining Grid.

  • Mining Grid reserves the right to reject any application without providing a reason.

  • Affiliates must provide accurate business and tax information for compliance purposes.

5. Promotional Guidelines

The Affiliate agrees to:

  • Use only approved marketing materials provided by Mining Grid.

  • Avoid misleading, exaggerated, or false claims about Mining Grid’s services or mining returns.

  • Comply with all applicable laws and regulations in the jurisdictions where promotions occur.

  • Not engage in spam, unsolicited marketing, or illegal advertising practices.

6. Commissions & Payments

  • The Affiliate will earn a commission of [insert % or fixed rate] on qualifying sales generated through their unique referral link or tracking code.

  • A “qualifying sale” is defined as a confirmed and fully paid purchase of a Mining Grid BTC mining package or related service.

  • Commissions are calculated [monthly/bi-weekly] and paid within [X days] after the payment period ends.

  • Payments are made in [BTC / USDT / Bank Transfer] to the Affiliate’s designated account/wallet.

  • Any refunded, canceled, or fraudulent transactions will not generate commissions.

7. Taxes

  • The Affiliate is solely responsible for reporting and paying any taxes due in their jurisdiction on commissions earned.

  • Mining Grid will provide necessary tax documentation where required by law.

8. Intellectual Property

  • The Affiliate is granted a limited, non-exclusive, revocable license to use Mining Grid’s trademarks, logos, and marketing materials solely for promotional purposes under this Agreement.

  • All rights remain the property of Mining Grid.

9. Confidentiality

The Affiliate agrees not to disclose or misuse any confidential information, including commission structures, customer data, or internal business strategies, without written consent from Mining Grid.

10. Prohibited Activities

The Affiliate may not:

  • Create their own mining service using the Mining Grid brand or misrepresent themselves as Mining Grid.

  • Offer incentives, discounts, or rebates not approved by Mining Grid.

  • Engage in fraudulent or deceptive practices to generate sales.

11. Compliance & AML/KYC Requirements

  • Mining Grid operates under strict Anti-Money Laundering (AML) and Know Your Customer (KYC) standards.

  • Affiliates must ensure referred customers comply with all AML/KYC procedures before activation of services.

  • Any breach of these requirements will result in immediate termination of this Agreement.

12. Term & Termination

  • This Agreement begins on the approval date and continues until terminated by either party with 30 days’ written notice.

  • Mining Grid may terminate immediately in the event of fraud, breach of terms, or illegal activity.

  • Upon termination, the Affiliate must cease using Mining Grid branding and remove all promotional materials.

13. Limitation of Liability

  • Mining Grid shall not be liable for any indirect, incidental, or consequential damages arising from the Affiliate’s participation in the program.

  • Mining Grid’s total liability to the Affiliate shall not exceed the total commissions paid to the Affiliate in the last 6 months.

14. Indemnification

The Affiliate agrees to indemnify and hold harmless Mining Grid, its officers, and employees from any claims, damages, or liabilities arising from the Affiliate’s marketing activities or breach of this Agreement.

15. Governing Law & Dispute Resolution

  • This Agreement shall be governed by the laws of [Jurisdiction].

  • Any disputes shall first be resolved through good-faith negotiations, and if unresolved, through arbitration in [City, Country].

16. Amendments

Mining Grid reserves the right to amend these Terms & Conditions at any time. Affiliates will be notified in writing of any changes. Continued participation constitutes acceptance of the updated terms.
